These Terms of Service govern your use of HF Zenith Ltd's website and services. By engaging our services or using our website, you agree to these terms. Please read them carefully.

1. About us

HF Zenith Ltd is a company registered in England and Wales. We provide AI automation, web development, ecommerce, and digital services. Contact: hello@hfzenith.tech.

2. Services

HF Zenith Ltd provides digital services including but not limited to:

• AI automation and workflow systems
• Web design and development
• AI chatbot and voice agent development
• Ecommerce store development
• CRM setup and automation
• Systems integration and API development
• Ongoing maintenance and support retainers

The specific scope, deliverables, timeline, and pricing for each project are agreed in writing before work commences.

3. Payment terms

Unless otherwise agreed in writing:

• A deposit of 50% is required before work begins
• The remaining balance is due upon project completion before final delivery
• Monthly retainers are billed in advance on the first of each month
• Invoices are payable within 7 days of issue
• Late payments may incur interest at 8% above the Bank of England base rate

Payments are processed securely via Stripe or bank transfer. All prices are exclusive of VAT unless stated otherwise.

4. Intellectual property

Upon receipt of full payment, you own all custom code and designs we create specifically for your project. We retain the right to use the work in our portfolio unless you request otherwise in writing.

We retain ownership of any pre-existing tools, frameworks, or proprietary systems used in delivering your project. Third-party tools and licences remain subject to their respective terms.

5. Client responsibilities

You agree to:

• Provide accurate information and content required for your project
• Respond to requests for feedback or approvals within a reasonable timeframe
• Ensure you have the rights to any content, images, or materials you provide
• Not use our services for any unlawful purpose

6. Revisions and changes

Each project includes a reasonable number of revisions as agreed in your project scope. Additional revisions or changes to the original scope may be subject to additional charges, which we will communicate clearly before proceeding.

7. Timelines

We aim to deliver projects within the timelines agreed. Delays caused by late feedback, missing content, or changes to scope from your side may affect delivery dates. We will communicate any anticipated delays promptly.

8. Limitation of liability

To the maximum extent permitted by law, HF Zenith Ltd's total liability to you for any claim arising from our services shall not exceed the total amount paid by you for the relevant service in the three months preceding the claim.

We are not liable for any indirect, consequential, or special damages, including loss of profits or business interruption, even if we have been advised of the possibility of such damages.

9. Warranties

We warrant that our services will be delivered with reasonable skill and care. We do not guarantee specific business outcomes, revenue increases, or results from the use of systems we build, as these depend on many factors outside our control.

10. Termination

Either party may terminate a project with 14 days written notice. In the event of termination, you are liable for payment for all work completed up to the termination date. Deposits are non-refundable if work has commenced.

11. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the course of our engagement. This obligation survives termination of our agreement.

12. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to these terms

We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
